NCIERGE product descriptions are for evaluation. Only an authorized written agreement can create a commercial, implementation or service commitment.
Agreement to these terms
These Website Terms govern access to NCIERGE.com and its public materials. By using the site, you agree to them. If you do not agree, do not use the site.
These terms concern the public website. Founding access, pilots, integrations, subscriptions and other product services are governed only by the authorized written agreement for that engagement.
Information, not a commercial commitment
The site presents NCIERGE, PROTÉGÉ and product direction for general information and evaluation. Mockups, demonstrations, feature descriptions, forecasts, roadmap items, integrations, pricing approaches and availability may change.
Nothing on the site is an offer, service-level commitment, warranty, professional advice or promise of a particular business result. A commitment exists only when it appears in a written agreement signed by an authorized NCIERGE representative.
NCIERGE ownership
NCIERGE and its licensors own all right, title and interest in the site and its materials. This includes the NCIERGE name, symbol, wordmark, logos and visual identity; PROTÉGÉ by NCIERGE; À Vous, Salle, Coulisses and EnVue; Bon Appette and future NCIERGE product or module names; and the associated copy, photography, illustrations, videos, diagrams, screens, mockups, interface designs, workflows, graphics, documentation, software and presentation.
These materials may be protected by copyright, trademark, design, trade-secret and other laws. Their publication does not transfer ownership, grant an implied licence or place them in the public domain. All rights are reserved.
Third-party names and materials remain the property of their respective owners. Reference to a third party does not imply endorsement, partnership or an available integration.
Limited permission to use the site
NCIERGE grants a personal, limited, revocable, non-exclusive and non-transferable permission to view the public site for lawful information and internal evaluation. You may print a reasonable number of pages for that purpose if all ownership notices remain intact.
No other right is granted. Written permission is required for republication, commercial use, public comparison, distribution, adaptation or use of NCIERGE materials in another product, service, presentation or promotion.
Prohibited conduct
You must not copy or harvest the site at scale; scrape or extract its content; use its materials to train, tune or improve an artificial-intelligence or machine-learning system; reverse engineer interfaces or code; create derivative products; remove notices; frame or mirror pages; or use NCIERGE names, marks, confusingly similar names, domains or social identities without written permission.
You must not interfere with security or availability, test vulnerabilities without authorization, introduce harmful code, attempt unauthorized access, impersonate another person, submit unlawful or misleading material, or use the site to infringe the rights of NCIERGE or anyone else.
Enquiries, ideas and feedback
You remain responsible for information you submit and confirm that you have the right to provide it. Do not send guest records, another person's confidential information or material restricted by an employer, property, vendor or agreement.
Unless NCIERGE has agreed otherwise in writing, an unsolicited idea or feedback is not confidential. You grant NCIERGE a worldwide, perpetual, irrevocable, royalty-free right to use and develop that feedback without payment or obligation. Personal information remains governed by the Privacy Notice.
Third-party sites and services
Links are provided for convenience. NCIERGE does not control and is not responsible for third-party content, availability, security, accessibility, privacy, terms or transactions. Accessing another service is at your discretion and subject to that service's terms.
Availability and changes
We may change, suspend, restrict or discontinue any part of the site at any time. We may also limit access where we reasonably believe use is unlawful, harmful, insecure or contrary to these terms.
We do not promise that the site will always be available, complete, current, compatible, uninterrupted, secure or free from errors.
Disclaimers
To the fullest extent permitted by law, the site and its materials are provided “as is” and “as available,” without express, implied or statutory warranties, including merchantability, fitness for a particular purpose, title, non-infringement, accuracy or results.
NCIERGE does not warrant that a described capability will launch, integrate with a particular system, meet a property's requirements or produce a stated operational, reputation or revenue outcome.
Limits of liability
To the fullest extent permitted by law, NCIERGE and its founders, personnel, contractors, licensors and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive loss, or for loss of profit, revenue, goodwill, opportunity, data or business continuity arising from the site or reliance on its materials.
Where liability cannot lawfully be excluded, aggregate liability connected with the public site will not exceed the greater of the amount paid specifically for access to the site during the preceding 12 months and CAD $100. Nothing in these terms excludes liability or rights that cannot legally be excluded or limited.
Responsibility for misuse
To the extent permitted by law, you will defend, indemnify and hold harmless NCIERGE and its personnel from third-party claims, losses, costs and reasonable legal fees arising from your unlawful use of the site, your submitted material, your infringement of another person's rights or your material breach of these terms.
Governing law and disputes
These terms are governed by the laws of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles. Subject to rights that cannot be waived, the courts located in Toronto, Ontario have exclusive jurisdiction over a dispute concerning the public site.
Before filing a claim, the parties should give written notice and make a reasonable effort to resolve the concern directly. Email reach@ncierge.com with the subject “Legal notice.”
General terms
If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary and the remaining terms will continue. A delay in enforcement is not a waiver. You may not assign these terms without written consent; NCIERGE may assign them as part of a reorganization, financing, sale or transfer.
We may update these terms. Continued use after a revised version is published means the revised terms apply from that point. These terms, together with the Privacy and Cookie notices, are the entire agreement for use of the public site.
